Terms of Service for Captio

1. Scope and Acceptance
These Terms of Service (“Terms”) govern your use of the Captio browser extension (“Captio”, “the Extension”, “the Service”), including both the free tier and the paid Pro tier. By installing, accessing, or using Captio, you agree to be bound by these Terms. If you do not agree, you must uninstall the Extension and discontinue use.
You must be at least 16 years of age to use Captio. By using the Extension, you represent that you meet this age requirement.

3. Service Description
Captio is a browser extension that enables you to capture visual elements from webpages and compose them into designs with backgrounds, text, 3D transforms, templates, and other features. Designs can be exported as images, PDFs, or copied to the clipboard.
a) Free Tier
The free tier provides access to a limited set of features at no cost. No payment or account is required.
b) Pro Tier
The Pro tier unlocks the full feature set. Access to Pro requires a one-time purchase of a lifetime license.
c) Free Trial
Each user may activate a single 7-day free trial, which provides full Pro access for the trial period. After the trial expires, you may purchase a Pro license or continue with the free tier.
d) Feature Changes
We reserve the right to add, modify, or remove features at any time. We do not guarantee that any specific feature will remain available. Material reductions in Pro functionality will be communicated in advance where reasonably possible.
4. License
a) Grant
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use Captio on your devices for personal or commercial design work.
b) One License Per User
Each Pro license is tied to a single user. You may not share, resell, sublicense, or transfer your license to another person.
c) Pro Lifetime License
A Pro license grants lifetime access to Pro features as they exist and evolve during the lifetime of the Extension. “Lifetime” refers to the operational lifetime of Captio, not the lifetime of the user. If Captio is discontinued, see section 11.
5. Payment and Pricing
a) Price
The Pro license is available for a one-time payment of $19.99 (USD). We reserve the right to change the price at any time. Price changes do not affect existing purchases — if you purchased a lifetime license, it remains valid regardless of subsequent price changes.
b) Payment Processing
Payments are processed by ExtensionPay (extensionpay.com), which uses Stripe (stripe.com) as its payment processor. We do not collect, process, or store your payment information (credit card numbers, billing addresses, etc.). Payment is subject to ExtensionPay's and Stripe's respective terms of service.
c) VAT Notice
Prices do not include VAT pursuant to § 19 UStG (German Small Business Regulation / Kleinunternehmerregelung). No VAT is charged or shown on invoices.
d) Future Pricing Model Changes
If we change the pricing model in the future (e.g., introduce a subscription), existing lifetime license holders will retain their lifetime access under the terms in effect at the time of their purchase. No additional payment will be required from lifetime buyers for features that were included in the Pro tier at the time of their purchase.
6. Right of Withdrawal (Widerrufsrecht)
IMPORTANT NOTICE FOR EU/EEA CONSUMERS:
a) Digital Content Exception
Captio Pro is digital content that is not supplied on a tangible medium. Pursuant to § 356(5) of the German Civil Code (BGB) and Article 16(m) of the EU Consumer Rights Directive (2011/83/EU), your right of withdrawal expires once we have begun delivering the digital content, provided that:
- You have given your express prior consent to the commencement of delivery before the expiry of the withdrawal period, and
- You have acknowledged that you lose your right of withdrawal by giving such consent.
b) Consent and Acknowledgment
By completing the purchase of a Captio Pro license, you expressly consent to immediate delivery of the digital content (activation of Pro features) and acknowledge that you thereby lose your right of withdrawal.
c) Trial as Pre-Purchase Evaluation
We offer a 7-day free trial specifically so you can evaluate the full Pro feature set before purchasing. We encourage you to make full use of the trial before deciding to buy.
7. Intellectual Property
a) Captio Software
All rights, title, and interest in and to Captio — including but not limited to its source code, design, graphics, icons, documentation, and trademarks — remain with the Developer. These Terms do not grant you any ownership rights in the software.
b) Your Content
You retain full ownership of all content you create using Captio, including your projects, designs, and exported files. We claim no license, ownership, or usage rights over your content. We do not access, collect, or store your projects (all data is processed locally on your device).
c) Third-Party Content
You are solely responsible for ensuring that your use of captured webpage content (screenshots, images, text, logos, etc.) complies with applicable intellectual property laws, including copyright and trademark rights of third parties. We are not liable for any intellectual property infringement arising from your use of third-party content.
8. Acceptable Use
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Captio, except to the extent expressly permitted by applicable law (including § 69e UrhG).
- Copy, redistribute, sublicense, rent, lease, or sell Captio or any part thereof.
- Circumvent, disable, or interfere with any payment verification, feature gating, trial limitation, or other security or access-control mechanism.
- Use Captio through automated means, bots, or scripts, except for personal automation that does not circumvent licensing restrictions.
- Use Captio for any purpose that violates applicable law.
9. Warranty and Conformity (Gewährleistung)
a) Statutory Warranty Rights
If you are a consumer in the European Union, you have statutory warranty rights under §§ 327 et seq. BGB (German Civil Code), implementing the EU Digital Content Directive (2019/770). These rights cannot be excluded or limited by contract:
- Captio must conform to the contract at the time of delivery (§ 327e BGB). This means it must provide the functionality, compatibility, and performance described in these Terms and in the Chrome Web Store listing.
- We are liable for defects in conformity that exist at the time of delivery and become apparent within two years (§ 327j BGB).
- For defects that become apparent within 12 months of delivery, it is presumed that the defect existed at the time of delivery unless the nature of the digital product or the defect is incompatible with this presumption (§ 327m BGB).
b) Limitation for Non-Consumer Use
To the maximum extent permitted by applicable law, and for users who are not consumers within the meaning of § 13 BGB, Captio is provided “as is” and “as available” without warranties of any kind, whether express or implied.
c) No Guarantee of Uninterrupted Service
We do not guarantee that Captio will be error-free, uninterrupted, or compatible with every website or browser configuration. Browser updates, website changes, or operating system changes may affect functionality.
10. Liability Limitation (Haftungsbeschränkung)
a) Unlimited Liability
We are fully liable without limitation for:
- Damages caused by intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit)
- Injury to life, body, or health
- Liability under the German Product Liability Act (Produkthaftungsgesetz)
- Liability arising from the assumption of a guarantee (Garantie)
b) Slight Negligence
In cases of slight negligence (einfache Fahrlässigkeit), we are liable only for breach of material contractual obligations (wesentliche Vertragspflichten / Kardinalpflichten) — i.e., obligations whose fulfillment is essential for the proper performance of the contract and on whose compliance you may reasonably rely. In such cases, liability is limited to foreseeable, contract-typical damages and capped at the amount of the purchase price paid.
c) Exclusion of Indirect Damages
To the extent permitted by applicable law and subject to section 10(a), we are not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of data, loss of profit, or business interruption.
d) Data and Projects
Since all project data is stored locally on your device, we are not liable for data loss resulting from browser updates, device failure, extension uninstallation, or other events outside our control. We recommend regularly exporting important designs.
11. Term and Termination
a) Free Tier
Your right to use the free tier continues for as long as you have Captio installed, subject to these Terms.
b) Pro Tier
Your Pro license is valid for the operational lifetime of Captio (i.e., as long as the Extension is maintained and available).
c) Termination for Breach
We may terminate or suspend your access to Captio, including your Pro license, if you materially breach these Terms. Where possible, we will notify you of the breach and provide a reasonable opportunity to cure it before termination.
d) Discontinuation
If we decide to discontinue Captio entirely, we will provide at least 60 days' notice via the Chrome Web Store listing or other reasonable means. The Extension will continue to function locally on devices where it is already installed, but we will not be obligated to provide updates, support, or new features after discontinuation.
e) Effect of Termination
Upon termination or uninstallation, your license to use Captio ends. All project data stored locally on your device remains on your device; we do not have the ability to delete your local data.
12. Changes to These Terms
a) Right to Modify
We may update these Terms from time to time. Updates will be communicated through the Chrome Web Store listing and/or within the Extension itself (e.g., via extension update notes).
b) Notice Period
For material changes that affect your rights or obligations, we will provide at least 30 days' notice before the changes take effect.
c) Acceptance of Changes
Your continued use of Captio after the effective date of updated Terms constitutes your acceptance of the changes.
d) Right to Terminate
If you are a paid Pro user and do not agree with material changes to these Terms, you may terminate your use of Captio. In such cases, your license ends upon uninstallation, but no refund is owed, as the license grants access to the service as it existed at the time of purchase and going forward.
13. Governing Law and Dispute Resolution
a) Governing Law
These Terms are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
b) Consumer Protection
If you are a consumer habitually resident in the EU/EEA, you additionally benefit from any mandatory provisions of the consumer protection law of your country of residence that are more favorable to you (Article 6(2) of Regulation (EC) No 593/2008 — Rome I).
c) Jurisdiction
If you are a consumer, you may bring claims against us in the courts of your place of domicile or in the courts competent for our place of business. We may bring claims against you only in the courts of your place of domicile.
d) Online Dispute Resolution
The European Commission provides an online dispute resolution (ODR) platform at: https://ec.europa.eu/consumers/odr
We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) pursuant to § 36 VSBG.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed. The remaining provisions shall continue in full force and effect.
